Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of the Fakturio invoicing platform (“Service”), operated by Daniil Chebotarev (“we,” “us,” or “our”), based in Switzerland at Bucheggstrasse 21, 8037 Zürich, Switzerland.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Scope and Acceptance

These Terms apply to all users of the Fakturio platform, including guest users who create invoices without an account and registered users. By accessing or using the Service, you confirm that you have read, understood, and agree to these Terms.

These Terms constitute a binding agreement between you and Daniil Chebotarev (sole proprietor) under Swiss law (Art. 1 et seq. Swiss Code of Obligations, OR). Additional terms may apply to specific features and will be presented before you use those features.

2. Description of the Service

Fakturio is a web-based invoicing and business management platform for freelancers and small businesses. The Service provides:

  • Invoice creation, management, and PDF generation with automatic numbering
  • Invoice delivery via email
  • Credit notes and recurring invoices
  • Customer/contact management
  • Expense tracking with optional OCR receipt scanning
  • Project management and time tracking
  • Dashboard and analytics
  • Swiss QR-bill generation
  • Multi-country compliance (CH, DE, AT, NL, IE, SE, FI, CZ, GB, NO)
  • Swiss income/wealth tax calculator
  • Guest invoice creation (data stored locally in your browser)
  • AI-powered document scanning
  • Business registry lookup (ARES, Zefix)

We may add, modify, or remove features at our discretion, with reasonable notice for material changes.

3. Account Registration and Responsibilities

  • To access full features, you must create an account via our authentication provider (Clerk)
  • You must complete onboarding by providing your business information
  • You are responsible for providing accurate and up-to-date information
  • You are responsible for maintaining the confidentiality of your account credentials
  • Notify us immediately at support@fakturio.ch if you suspect unauthorized access
  • Each account is for a single individual or business entity
  • You must be at least 18 years old to create an account

4. Guest Users

You may create invoices without registering (“Guest Mode”). Guest data is stored locally in your browser and not transmitted to our servers. We are not responsible for loss of guest data due to browser cache clearing, device changes, or other local storage issues. Upon registration, you may migrate guest data to your account.

5. Subscription Plans and Payment

  • Fakturio may offer free and paid subscription plans
  • Payments are processed securely through Stripe — we do not store credit card details
  • Paid subscriptions renew automatically unless cancelled before the end of the billing period
  • You may cancel at any time through the Stripe billing portal in your account settings
  • Price changes require at least 30 days' prior notice
  • Refunds are handled on a case-by-case basis — contact us at support@fakturio.ch
  • We may suspend access to paid features for failed payments after reasonable notice

6. Intellectual Property Rights

The Service, including its design, source code, UI, and branding, is owned by Daniil Chebotarev and protected by Swiss and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your legitimate business purposes. You may not:

  • Copy, modify, reverse-engineer, or decompile the Service
  • Sublicense, resell, or distribute the Service to third parties
  • Remove or alter any proprietary notices or branding
  • Use automated tools (bots, scrapers) to access the Service

7. User-Generated Content and Data Ownership

You retain full ownership of all data you enter into Fakturio, including invoices, contacts, expenses, projects, time entries, and uploaded files.

We process your data solely to provide the Service. We do not sell your data or use it for advertising. You may export invoices as PDFs at any time. For a full data export, contact us at support@fakturio.ch.

You are solely responsible for the accuracy, completeness, and legal compliance of invoices you create. While we provide compliance features (e.g., VAT exemption texts, Swiss QR-bills), it is your responsibility to verify that your invoices meet legal requirements.

8. Prohibited Uses

You agree not to use the Service to:

  • Create fraudulent, misleading, or illegal invoices or documents
  • Violate any applicable law, regulation, or third-party rights
  • Transmit malware, viruses, or harmful code
  • Attempt unauthorized access to the Service or other users' accounts
  • Use the Service for money laundering, tax evasion, or financial crimes
  • Abuse the OCR or AI features with inappropriate or harmful content
  • Circumvent rate limiting, security measures, or access controls

9. Limitation of Liability

To the maximum extent permitted by Swiss law (Art. 97 et seq. OR), our total aggregate liability shall not exceed the amount you have paid us in the 12 months preceding the claim.

We are not liable for:

  • Indirect, incidental, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Tax penalties or legal consequences arising from your invoices
  • Errors in tax calculations (these are estimates only — consult a tax professional)
  • Inaccuracies in OCR data extraction (always review AI-extracted data)
  • Third-party service interruptions (Stripe, Clerk, Supabase, etc.)

Nothing in these Terms excludes liability for fraud, intentional misconduct (Art. 100 para. 1 OR), or gross negligence.

10. Warranty Disclaimer

The Service is provided “as is” and “as available” without warranties of any kind. We do not warrant uninterrupted service, complete legal compliance of invoice templates, accuracy of tax calculations or OCR extraction, or uninterrupted third-party integrations.

Not legal or tax advice. Fakturio provides tools and automation to help you create invoices and estimate taxes. It does not provide legal, tax, or accounting advice. Consult qualified professionals for your specific situation.

11. Termination and Account Deletion

You may delete your account at any time from the “My Account” page. Account deletion is permanent and cannot be reversed.

Upon deletion:

  • All personal data, contacts, projects, expenses, files, and settings are permanently removed
  • Invoices are retained for 10 years as required by Swiss law (Art. 958f OR)
  • Your Clerk authentication account is deleted
  • Stripe billing records are subject to Stripe's retention policies

We may suspend or terminate your account for Terms violations, illegal use, or non-payment (after reasonable notice).

12. Governing Law

These Terms are governed by and construed in accordance with the substantive laws of Switzerland, excluding its conflict-of-laws provisions and the United Nations Convention on Contracts for the International Sale of Goods (CISG).

13. Jurisdiction and Dispute Resolution

Disputes are subject to the exclusive jurisdiction of the courts of Zürich, Switzerland. Both parties agree to attempt amicable resolution within 30 days before initiating proceedings.

If you are a consumer, mandatory consumer protection provisions of your country of residence may apply in addition to these Terms.

14. Modification of Terms

We may modify these Terms with at least 30 days' notice. Changes will be posted on our website and significant changes will be notified to registered users via email. Continued use after the effective date constitutes acceptance. If you do not agree, you may terminate your account before changes take effect.

15. Severability

If any provision is found invalid or unenforceable, the remaining provisions continue in full force. The invalid provision shall be replaced by one that most closely reflects the original intent.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Daniil Chebotarev regarding the use of the Service.
